Patient Wallet Terms
1. What This Is
The Imani Health Patient Wallet is a deposit/credit balance held for a patient at a specific Healthcare Organisation, so that money can be paid in advance and used to settle that Organisation's invoices without repeated card or bank-transfer transactions.
The Wallet is not a bank account, a savings product, or an electronic money product issued by Imani Health. It is not interest-bearing. It is not covered by NDIC deposit insurance. Funds moving into and out of a Wallet are processed through Imani Health's licensed payment processing partner (currently Paystack); Imani Health itself does not hold a banking or e-money licence.
2. Who Controls the Wallet
A Wallet is created and managed on a patient's behalf by the Healthcare Organisation providing their care, typically through a billing clerk or receptionist. A patient does not need, and in most cases does not have, a direct login to view or operate their own Wallet — instead:
- funding requests, balance information, and spend confirmations are sent to the patient's phone number and/or email on file;
- any debit from the Wallet to pay an invoice requires a one-time code (OTP) sent to the patient (or an explicitly nominated phone/email), which only the patient can authorise;
- the Organisation cannot debit a Wallet without that OTP being correctly entered.
3. Funding a Wallet
A Wallet may be funded by:
- a bank transfer to a dedicated virtual account (DVA) issued in the patient's name; or
- a hosted payment link (card, transfer, or other channel supported by the payment processor).
Funding fees: every amount funded into a Wallet has the following deducted before the balance is credited:
- a 2.5% Imani Health platform fee;
- 7.5% VAT on that platform fee (in accordance with the Nigeria Tax Act 2025);
- the payment processor's own transaction fee — for bank transfer funding, this is currently 1% of the amount, capped at ₦300; for card/checkout funding, the processor's actual fee for that transaction.
These fees are disclosed at the point of funding (in the message sent to the patient, and in the Organisation's own dashboard) before any transfer is made, and are never hidden or backdated.
4. Spending a Wallet Balance
A Wallet balance may only be used to pay invoices raised by the specific Organisation that holds it. It cannot be transferred to another patient, another Organisation, or converted to cash by the patient directly. Every debit is:
- initiated by an Organisation staff member (billing clerk, receptionist, or the Organisation itself);
- authorised only after the patient (or their nominated recipient) confirms a one-time code sent to them for that specific invoice and amount;
- recorded with a full audit trail, including the amount, the invoice it paid, and the time it occurred.
No fee is charged to the patient for using a Wallet balance to pay an invoice — funding and withdrawal fees (Sections 3 and 5) are the only fees in this system.
5. Facility Withdrawal
An Organisation may withdraw its own accumulated Wallet balance (money it has received via patient Wallet payments) to its own registered bank account. A patient cannot request or receive a direct cash withdrawal from their own Wallet balance — a Wallet exists to be spent on care at the Organisation that holds it, not to be cashed out by the patient.
Withdrawal fees: the same 2.5% Imani Health platform fee plus 7.5% VAT on that fee applies to the amount withdrawn, deducted from the transfer sent to the Organisation's bank account. The Organisation's Wallet is always debited the full amount it requested to withdraw — the fee only reduces what is actually transferred out, so there is never a surprise partial debit.
6. Refunds
If a patient is owed a refund from their Wallet balance (for example, an overpayment, a cancelled service, or an incorrect charge), the refund is processed by the Organisation crediting the amount back to the patient's Wallet, or, where appropriate, arranging a direct refund to the patient outside the Wallet. Imani Health does not independently adjudicate refund disputes between a patient and an Organisation — that relationship, and any refund owed under it, is between the patient and the Organisation providing their care.
7. If the Care Relationship Ends
If a patient stops receiving care at an Organisation, or an Organisation stops using Imani Health's platform, any remaining Wallet balance remains the property of the patient. The Organisation is responsible for returning any unused balance to the patient (by refund, by applying it to a final invoice, or by another agreed method) — Imani Health does not automatically forfeit, expire, or retain an unused Wallet balance on an Organisation's behalf.
8. Security and Records
Every Wallet transaction — funding, spend, withdrawal, and any adjustment — is permanently and synchronously recorded, independent of the transaction records described in Imani Health's General Terms of Service. OTP codes used to authorise a spend are single-use, time-limited, and never reused across a different invoice or amount.
9. Changes to These Terms
Imani Health may update these Patient Wallet Terms from time to time, in particular to reflect changes in Nigerian tax law, payment-processing regulation, or the fees described in Sections 3 and 5. Material changes to the fee structure will be reflected in this document and, where practical, communicated to Organisations using the Wallet feature.
